Sarbanes-Oxley Advice For Smaller Public Companies
Section 404 of the Sarbanes-Oxley Act (SOX) requires CEOs and CFOs to verify that their internal controls over financial processes are effective. In recognition of the fewer resources small to midsize companies have to devote to Sarbanes-Oxley, the SEC has allowed them exemption from Section 404 to this point, but they will need to achieve SOX compliance by December 15. IT managers need to work with CFOs to determine what roles the IT department plays in achieving compliance with Section 404. For example, IT focuses largely on automated processes and security and access protocols ---many of which are relied on to achieve SOX compliance.
