Corporate board seats not so cushy: Post-Enron, directors must dig into details
Today's board directors are harder to recruit due to
concerns about personal liability thanks to the Sarbanes-Oxley
corporate governance law (SOX). Directors often rely
on their own sources to assist them in determining what
is appropriate and ethical in their corporate affairs.
While this was almost unheard of prior to demands from
shareholder activists in the 90s, with Sarbanes-Oxley,
it is now the norm. SOX compliance standards mandate
that auditing committees must contain one "financial
expert" who will guide the committee through the auditing
process. This is good news for investors who are still
recovering from the latest options backdating scandal,
which many argue happened before Sarbanes-Oxley.
