According to recent studies, only 15 percent of companies conducted reviews of individual board members in 2006 (compared with 68 percent of companies conducting complete board reviews), though this number is expected to rise due to the Sarbanes-Oxley Act (SOX). It is recommended that using an outside consultant would be the best way to deliver any negative assessment. CEOs are being dismissed at a much higher rate than they were ten years ago, due to inadequate performance that has come to light during SOX compliance activities. Though Sarbanes-Oxley has increased the fear that directors might be sued for activities related to their work, a closer look reveals that very few directors actually made any direct personal payments as a result of a poor decision.
