Has the Purpose of Sarbanes
Oxley Been Forgotten?
One company's CEO, thinks that the
move to a risk-based audit approach in the past caused many companies
to become lax about keeping documentation updated. This has impeded
many companies’ progress in the mandated move toward compliance
with Sarbanes-Oxley. He also thinks that smaller companies,
though viewed by the SEC has having minimal risk in terms of capital
markets, should take compliance with SOX as seriously as large
public companies. He argues that these smaller and mid-size companies
fuel the economy and that investors in these companies should
expect the same compliance and bottom line improvement in reporting
expected in large companies. He states that the government
is giving more assistance in implementing controls to large companies.
Rather than waiting until the last minute to “engage”
SOX and operational risk management, however, all companies should
lock in current rates and resources now available. Also, companies
with their eyes on becoming publicly traded, as well as many private
equity, banks and insurance companies should begin compliance
with Sarbanes-Oxley as soon as possible to improve the likelihood
of successful SOX standards implementation expected by investors
and required by the SEC.
